1. Introduction and Agreement to Terms

Welcome to Lumireta ("Company", "we", "our", "us"). These Terms and Conditions ("Terms", "Terms of Service") govern your use of our website, software applications, and services (collectively, the "Services") operated by Lumireta.

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you do not have permission to access the Services.

2. Definitions

  • "Services" refers to the websites, applications, software solutions, and consulting services provided by Lumireta.
  • "User" refers to individuals or entities that access or use our Services.
  • "Content" refers to text, images, graphics, logos, software, code, and other materials that may appear in our Services.
  • "Client" refers to businesses or individuals who have entered into a service agreement with Lumireta.
  • "Custom Software" refers to software applications, systems, or solutions developed specifically for a Client.

3. Services Description

Lumireta provides technology solutions including but not limited to custom software development, enterprise resource planning (ERP) systems, mobile applications, web platforms, and technology consulting services. The specific details, scope, deliverables, and timelines for custom development projects will be outlined in separate service agreements with Clients.

4. User Accounts

Some of our Services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Provide accurate and complete information when creating an account
  • Secure your account credentials and not share them with third parties
  • Notify us immediately of any unauthorized use of your account
  • Ensure that you exit from your account at the end of each session

We reserve the right to disable any user account if we believe you have violated these Terms.

5. User Responsibilities and Conduct

When using our Services, you agree not to:

  • Use the Services in any way that violates applicable laws or regulations
  • Infringe upon intellectual property rights of Lumireta or any third party
  • Attempt to gain unauthorized access to any part of the Services or any system or network connected to the Services
  • Use the Services to transmit malware, viruses, or other malicious code
  • Interfere with or disrupt the integrity or performance of the Services
  • Collect or harvest any information from the Services without authorization
  • Use the Services for any purpose that is harmful, fraudulent, deceptive, or otherwise objectionable

6. Intellectual Property

Unless otherwise specified in a separate agreement:

  • The Services and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Lumireta, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
  • For custom software development projects, the ownership of intellectual property rights will be specified in the service agreement between Lumireta and the Client.
  • Lumireta may retain ownership of reusable components, frameworks, and methodologies used in the development of custom solutions.
  • Users are granted a limited, non-exclusive, non-transferable license to access and use the Services for their intended purposes.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. LUMIRETA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. We make no warranties about the accuracy, reliability, completeness, or timeliness of the Services.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMIRETA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES
  • ANY CONTENT OBTAINED FROM THE SERVICES
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

In no event shall Lumireta's total liability to you for all claims exceed the amount paid by you, if any, for accessing or using the Services during the twelve (12) months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Lumireta, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

10. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

For Clients with active service agreements, termination provisions specified in those agreements will take precedence over these general Terms.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Greece, without regard to its conflict of law provisions.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Athens, Greece.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, please stop using the Services.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

14. Entire Agreement

These Terms constitute the entire agreement between you and Lumireta regarding our Services, and supersede and replace any prior agreements we might have between us regarding the Services. For Clients with separate service agreements, those agreements will supplement these Terms.
